Terms of Service

These Terms of Service (“Terms”) govern your use of the Gabriel CRM platform (app.gabrielcrm.com) and related services offered by Gabriel CRM, LLC (“Gabriel,” “we,” “our,” or “us”). By accessing or using Gabriel, you agree to be bound by these Terms. If you do not agree, you may not use the service.

1. Acceptance of Terms

By using Gabriel, you represent that you are at least 18 years old (or of legal age in your jurisdiction) and have the authority to enter into this agreement. If you are using Gabriel on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Account Registration & Responsibilities

Account Creation

You are responsible for providing accurate, complete, and current information when creating your account. You agree to maintain the confidentiality of your password and are responsible for all activities under your account.

Account Security

You agree to notify us immediately of any unauthorized access to your account. Gabriel is not responsible for unauthorized access resulting from your failure to maintain confidential login information.

Team Members

If you add team members to your account, you are responsible for their compliance with these Terms and our Acceptable Use Policy. You agree to remove team members who violate our policies.

3. Subscription & Billing

Subscription Plans

Gabriel offers various subscription plans. Pricing and features are described on our website. You agree to pay all fees according to the plan you select.

Billing & Payment

We will bill your payment method on a monthly or annual basis, depending on your plan. You authorize us to charge your payment method for all fees incurred. Billing occurs at the beginning of your subscription and each renewal period.

Free Trial

If you sign up for a free trial, we will not charge you unless you convert to a paid plan. Your free trial will automatically convert to a paid subscription unless you cancel before the trial ends.

Refunds

Subscription fees are non-refundable except as required by law. Unused portions of paid subscriptions are forfeited upon termination.

Price Changes

Gabriel may modify subscription pricing with 30 days' notice. Continued use after notice constitutes acceptance of new pricing. Existing subscriptions maintain current rates through the current billing cycle.

4. Acceptable Use Policy

You agree not to use Gabriel for any of the following:

• Illegal activities or violation of any laws or regulations
• Harassment, abuse, or threatening behavior toward others
• Spam, phishing, or other fraudulent activities
• Unauthorized access to systems or data
• Malware distribution or security breaches
• Violating intellectual property rights of others
• Creating multiple accounts to evade restrictions
• Reselling or redistributing Gabriel without authorization
• Reverse engineering or attempting to extract our proprietary code
• Using Gabriel to develop competing products

Gabriel reserves the right to suspend or terminate accounts that violate these policies.

5. Intellectual Property

Gabriel's IP

All content, features, and functionality of Gabriel (including but not limited to software, code, design, and documentation) are the exclusive property of Gabriel CRM, LLC. These materials are protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable license to use Gabriel solely for your internal business purposes, in accordance with these Terms. This license does not include the right to modify, sublicense, or resell Gabriel.

Your Trademarks

You retain all rights to your company name, logo, and other trademarks. By using Gabriel, you grant us limited permission to display your company name and logo on our website and marketing materials to identify you as a customer.

6. Data Ownership

You own all data you input into Gabriel, including customer records, communications, notes, and any other information you provide. Gabriel does not claim ownership of your data. We use your data solely to provide the service you've subscribed to.

Upon account termination, you may export your data. We will delete your data within 30 days of account closure, unless required by law to retain it.

7. Service Availability & Support

“As-Is” Service

Gabriel is provided on an “as-is” basis. We strive for high availability but do not guarantee 100% uptime. Gabriel is not responsible for any damages or losses resulting from service interruptions, maintenance, or technical issues.

Maintenance & Updates

We may perform scheduled or emergency maintenance, during which Gabriel may be unavailable. We will attempt to provide notice of scheduled maintenance, but emergency maintenance may occur without notice.

Gabriel provides customer support via email at hello@gabrielcrm.com. Response times and support scope depend on your subscription plan.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GABRIEL SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or use
• Business interruption or loss of goodwill
• Damages arising from your use or inability to use Gabriel

IN NO EVENT SHALL GABRIEL'S TOTAL LIABILITY EXCEED THE TOTAL AMOUNT YOU PAID FOR GABRIEL IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitation of liability, so this limitation may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless Gabriel, its officers, directors, employees, and agents from any claims, damages, or costs (including attorney fees) arising from: (a) your use of Gabriel, (b) your violation of these Terms, (c) your violation of applicable laws, or (d) your data or content you provide.

10. Termination

Termination by You

You may cancel your subscription at any time through your account settings or by contacting us. Your access will end at the end of your current billing period.

Termination by Gabriel

Gabriel may terminate your account immediately if you violate these Terms, engage in illegal activity, or pose a security risk. We will attempt to notify you of termination.

Effect of Termination

Upon termination, your license to use Gabriel ends immediately. You remain liable for any unpaid fees. Sections regarding intellectual property, limitation of liability, and indemnification survive termination.

11. Disclaimer of Warranties

GABRIEL IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Gabriel does not warrant that Gabriel will be uninterrupted, error-free, or free of viruses or harmful components.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of [State], without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in [State/County].

13. Modifications to Terms

Gabriel may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the “Last updated” date. Your continued use of Gabriel after modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be removed or modified to the minimum extent necessary, and the remaining provisions will remain in effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gabriel regarding use of our service and supersede all prior agreements and understandings.
